Welcome to Statixoup. These Terms and Conditions (“Terms”) govern your access to and use of the Statixoup website, platform, applications, dashboards, status pages, alerts, APIs, and related services (collectively, the “Services”).
These Services are currently offered as an uptime monitoring platform with features including monitors, heartbeats, and status pages.
By accessing or using Statixoup, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Who We Are
Statixoup is operated by Ethnic Infotech Pvt. Ltd., a company registered under the laws of India, with its registered office at C2/1010, Pragati IT Park, opp. AR mall, Mota Varachha, Surat, Gujarat, India 394105 (“Statixoup”, “we”, “our”, or “us”).
2. Eligibility
You may use the Services only if:
- you are legally capable of entering into a binding agreement;
- you are at least 18 years old, or the age of majority in your jurisdiction;
- you are not prohibited from using the Services under applicable law.
If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.
3. Your Account
To access some features, you may need to create an account.
You agree to:
- provide accurate and complete information;
- keep your login credentials secure;
- promptly update your account information if it changes;
- be responsible for all activity under your account.
You must immediately notify us if you believe your account has been accessed without authorization.
4. Our Services
Statixoup provides website and service monitoring tools, including but not limited to:
- uptime and availability monitoring;
- heartbeat monitoring;
- status pages;
- notifications and alerts;
- dashboards, reports, logs, and related tools.
We may add, modify, suspend, or discontinue any feature of the Services at any time, with or without notice.
5. Free Plans, Paid Plans, and Trials
Statixoup may offer free plans, paid subscriptions, trial plans, promotional credits, or custom enterprise plans.
If you subscribe to a paid plan:
- you agree to pay all applicable fees, taxes, and charges;
- billing may be recurring unless cancelled before renewal;
- fees are non-refundable except where required by law or expressly stated otherwise;
- we may change pricing by giving reasonable prior notice.
If you are using a free plan, certain usage limits, features, monitor frequency, retention, or notification options may apply.
6. Acceptable Use
You agree not to misuse the Services. You must not:
- use the Services for unlawful, harmful, fraudulent, or abusive purposes;
- interfere with or disrupt the Services or related infrastructure;
- attempt unauthorized access to any account, system, or network;
- use the Services to probe, scan, overload, or attack systems without proper authorization;
- upload or transmit malware, malicious code, or harmful content;
- reverse engineer, copy, scrape, or exploit the Services except as allowed by law;
- resell, sublicense, or commercially exploit the Services without our written consent;
- use the Services in a way that violates any third-party rights or applicable law.
You are solely responsible for ensuring that your monitoring activities are authorized by the owner of the website, server, API, endpoint, or infrastructure being monitored.
7. Monitored Resources and Your Content
You may submit URLs, endpoints, configuration data, status page content, team information, notification settings, and other materials to the Services (“User Content”).
You retain ownership of your User Content. However, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, use, process, store, copy, transmit, and display your User Content only as necessary to provide, maintain, secure, and improve the Services.
You represent and warrant that:
- you own or have the rights necessary to use and submit your User Content;
- your User Content does not violate any law or third-party rights;
- you have authorization to monitor the resources you add to Statixoup.
8. Alerts and Notifications
Statixoup may send notifications through email, SMS, Slack, webhook, push notification, or other integrations, depending on your plan and configuration.
You acknowledge that:
- alert delivery may depend on third-party providers;
- notifications may be delayed, filtered, blocked, or fail to arrive;
- we do not guarantee delivery, speed, or availability of notifications.
You are responsible for maintaining correct contact details and notification settings.
9. Status Pages and Public Content
If you create a public status page, any information you publish there may be visible to the public.
You are solely responsible for:
- the accuracy of the content you publish;
- ensuring you do not disclose confidential, personal, or restricted information;
- managing incident messages, component names, and related updates.
We may remove or restrict public content that violates these Terms or applicable law.
10. Service Availability
We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free operation.
Monitoring results, response times, downtime calculations, historical logs, and availability metrics may be affected by factors outside our control, including:
- network interruptions;
- DNS failures;
- third-party outages;
- provider limitations;
- configuration errors;
- force majeure events.
The Services are provided as a tool to assist operational visibility, not as a guarantee of actual service availability or business continuity.
11. Third-Party Services
The Services may integrate with or rely on third-party products, platforms, or providers.
We are not responsible for third-party services, including their availability, security, performance, or policies. Your use of any third-party service is governed by that provider’s own terms and policies.
12. Intellectual Property
The Services, including all software, design, text, graphics, logos, trademarks, features, and related content, are owned by or licensed to Statixoup and are protected by intellectual property laws.
Except for the limited right to use the Services under these Terms, no rights are granted to you.
You may not use the Statixoup name, logo, branding, or materials without prior written permission.
13. Feedback
If you provide feedback, suggestions, or ideas regarding the Services, you grant us the right to use them without restriction or compensation to you.
14. Suspension and Termination
We may suspend or terminate your access to the Services, with or without notice, if:
- you violate these Terms;
- your use creates legal, operational, or security risk;
- fees remain unpaid;
- we are required to do so by law.
You may stop using the Services at any time.
Upon termination, your right to use the Services ends immediately. We may delete your data in accordance with our retention practices and Privacy Policy.
15. Data Retention and Deletion
We may retain account, billing, monitoring, and operational data for as long as necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce our agreements.
After account closure or termination, data may be deleted after a reasonable retention period unless longer retention is required by law or legitimate operational need.
16. Privacy
Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, and protect personal data.
17. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.
We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- accuracy;
- reliability;
- uninterrupted availability.
We do not warrant that:
- the Services will meet your requirements;
- the Services will be uninterrupted, secure, or error-free;
- alerts or reports will always be accurate or timely;
- defects will always be corrected.
18. Limitation of Liability
To the fullest extent permitted by law, Statixoup and its directors, officers, employees, affiliates, partners, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity arising out of or related to the Services.
Our total aggregate liability for all claims arising out of or relating to the Services will not exceed:
- the amount you paid to us for the Services in the 12 months before the event giving rise to the claim, or
- if you used only a free plan, USD $100,
- whichever is greater only if required by applicable law, otherwise the lower amount may apply based on your legal review.
19. Indemnification
You agree to defend, indemnify, and hold harmless Statixoup and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:
- your use of the Services;
- your User Content;
- your violation of these Terms;
- your violation of any applicable law or third-party rights;
- your monitoring of systems, resources, or endpoints without proper authorization.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of Gujarat, India, without regard to conflict of law principles.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.
21. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the website, dashboard, email, or other reasonable means.
Your continued use of the Services after updated Terms become effective means you accept the revised Terms.
